4. Accuracy and Completeness of Information
Claritas has taken reasonable care to ensure that the information on the Website is authentic and adequate at the time of publication. Some information is obtained from third-party sources such as asset management companies, exchanges, registrars and data providers, and is provided on an “as is” basis. We do not warrant the accuracy, completeness, reliability or timeliness of any Content, which may change without notice and may contain inadvertent errors or omissions. We reserve the right to amend, update or remove any Content at any time without prior notice and accept no responsibility for any errors or omissions.
5. Nature of Information on the Website — Not Investment Advice
The Content on the Website is general in nature and is provided for information and educational purposes only. It does not constitute investment, financial, tax, legal, accounting or other professional advice, and does not take into account the specific objectives, financial situation, risk appetite or needs of any particular person. Nothing on the Website is, or should be construed as, a recommendation, offer, solicitation or inducement to buy, sell or hold any security or financial product. Any tools, calculators, illustrations or model portfolios on the Website are for illustration only, are based on assumptions that may not materialise, and must not be relied upon as advice. Mere access to or use of the Website does not create an advisory, fiduciary or client relationship with Claritas.
Personalised investment advice is provided only by Claritas Insights LLP, and only under a written investment advisory agreement, after completion of client KYC, risk profiling and a suitability assessment.
6. Investment Advisory Services (Claritas Insights LLP)
Investment advisory services are offered by Claritas Insights LLP in its capacity as a SEBI-Registered Investment Adviser, on a fee basis, under a signed advisory agreement, in accordance with the SEBI (Investment Advisers) Regulations, 2013. In this capacity:
- We act in a fiduciary capacity and provide advice based on the documented risk profile, objectives, suitability and financial circumstances of each client.
- Advisory fees are charged transparently in one of the modes permitted by SEBI, are disclosed to the client in advance, and are payable regardless of the performance of any investment.
- Our advice is non-binding. The client is free to accept, reject or act independently of any advice, and remains responsible for all investment decisions.
- We do not guarantee or assure any return, performance or outcome. All investments are subject to market and other risks, and the client bears the investment risk and makes the final investment decision.
- We do not hold, manage, or have custody, control or power of attorney over client funds or securities. Clients execute and settle all transactions independently through their own accounts.
- We do not earn any commission, brokerage or other consideration from product manufacturers in respect of advice rendered to advisory clients.
- Either party may terminate the advisory relationship in the manner set out in the advisory agreement.
7. Distribution Services (Claritas Wealth & Distribution LLP)
Distribution services for mutual funds, SIF and PMS are offered by Claritas Wealth & Distribution LLP in its capacity as a distributor, on an execution-facilitation basis, in accordance with applicable AMFI / APMI guidelines and codes of conduct. In this capacity:
- We act as a facilitator between you and the product manufacturer (for example, the asset management company or portfolio manager) and may receive commission, trail or brokerage from the manufacturer, which is disclosed as required.
- We do not provide investment advice in this capacity; distribution is on a non-advisory, “execution-only” basis, and any information shared is factual and product-related.
- The decision to invest, and the selection of products, rests solely with you.
- Mutual fund investments are subject to market risks; read all scheme-related documents carefully before investing.
- Any dispute regarding an underlying product (for example, redemption delays by an AMC) must be taken up directly with the respective product manufacturer.
8. Separation of Advisory and Distribution
Advisory services and distribution services are provided through two separate legal entities at arm’s length, with segregation maintained at the client level, in line with applicable SEBI requirements. Advisory services are provided on a fee basis by Claritas Insights LLP; distribution services are provided on a commission basis by Claritas Wealth & Distribution LLP. A client may choose either advisory services or distribution services; however, the same client shall be classified exclusively as either an advisory client or a distribution client and shall not be onboarded, serviced or charged for both services simultaneously. Where a potential conflict of interest exists, it will be disclosed to the client. This segregation is maintained through separate agreements, separate fee / commission arrangements and appropriate internal controls, and is subject to periodic compliance review and the annual audit applicable to the Advisory Entity.
9. Risk Factors and Performance
All investments in securities and financial products — including mutual funds, SIF, PMS, AIFs, bonds and other instruments — carry risk, including the possible loss of principal. Such risks include, among others, market risk, liquidity risk, credit and default risk, interest-rate risk, currency risk, concentration risk and regulatory or tax-related risk. Different products carry different risk profiles, and PMS and AIF products in particular carry specific risks described in their respective disclosure / offer documents, which you must read carefully before investing. Past performance is not indicative of, and does not guarantee, future results. Any projections, illustrations or target returns are hypothetical, are not promises, and may not be achieved. There is no assurance that any investment objective will be met or that capital will be returned.
